The term of this Agreement shall commence on the date inscribed below and expire five years thereafter. This Agreement may only be terminated under the terms outlined in clause of this Agreement. This Agreement will automatically be renewed for further successive Five years periods “RenewaI(s)” unless one party gives the other written notice, at least four months prior to the expiry of term or then current Renewal of its intent to not renew this Agreement.

01 OBLIGATIONS THROUGHOUT THE TERM:

a) Ensure the connection of the terminal(s) to transaction processor; (b) provide debit card and credit card facilities (c) provide training ATM services; (d) warrant the terminal(s) effect all maintenance and service except where required result of neglect, abuse, breakage, spillage or similar occurrences. On-site service may be provided to the merchant at an additional fee per incident. b) Merchant whose place of business is outside of Insta Cash Inc. on-site coverage area may only receive service by next business day courier, (e) on each business day, by way of a transaction processor, cause to be delivered to the merchant’s designated financial institution(s) or designated credit card acquirer(s), amounts equal to the value of all purchases net of any “surcharge” fee effected on the terminal before 9:00pm (ET) on the previous day. c)Deposits can only be made effected by the merchant’s financial institution(s).

02 MERCHANTS OBLIGATIONS:

Throughout the term, Merchant shall; (a) place the Terminal in a visible and accessible location in proximity to Merchant’s cash register; (b) connect the terminal to a telephone line; (c) honour all debit cards and /or credit cards issued by recognized financial institutions; (d) protect the confidentiality of any information entered into the Terminal by a user; (e) not ask the card holder his/her PIN; (f ) only connect the Terminal to the transaction processor designated by Insta Cash Inc.; (g) respect the regulations which may be imposed from time to time by Insta Cash Inc.; (h) ten dollars per month is applied to the merchant to cover for service repair and replacement.

03 TRANSACTION FEES:

The merchant shall be charged a “haulage” fee of ten cents per debit card transaction and five cents per uncompleted transaction effected on the terminal. The net amount owing or due shall be calculated monthly and settled in full, on or before the first week of the following month. In the event that Insta Cash Inc., shall be unable to collect the said fee from the merchant for any reason, it shall be entitled to the following recourse and fees afforded by the Merchant; (a) First incident a penalty fee of twenty-five dollars shall apply; (b) Second incident: a penalty fee of fifty dollars shall apply; (c) Third incident: Insta Cash Inc. shall discontinue processing transactions from the merchant’s terminal until all the fees owing and penalties have been settled. In such case, a reconnection fee of two hundred and fifty dollars shall be required to reconnect said terminal to the host. Insta Cash Inc. reserves the right to amend aforesaid fees in direct proportion to fees levied by Interact and its members. The merchant shall be charged annual processing fee of fifty dollars every calendar year.

04 SURCHARGE (USER) FEES:

Merchant may decide the rates of surcharge fee for purchase/Cash Back effected on its terminal(s). The amount of the surcharge fees will be distributed and shared between the two parties of this agreement in proportion of 80% to merchant and 20% to Insta Cash Inc.

05 TERMINATION:

Merchant may not terminate this Agreement prior to the date of expiration. This agreement will be deemed to have terminated in the event that any of the following occurs with or without prior notice to Insta Cash Inc.; (a) Store closing; (b) No purchase transactions effected on the terminal for 30 consecutive days; (c) Primary telephone line out of service. In the event of early termination, the merchant hereby agrees to reimburse Insta Cash Inc. in full, for unrecoverable costs relating to installation, disposal, registration, licensing, commission, and other fees relating to Insta Cash Inc. execution of this agreement. In the event of termination, an early termination fee of Four hundred ninety nine dollars shall be processed on the merchants ‘lnterac settlement account’. The liabilities of merchant under this Agreement shall remain in effect until all fees owing to Insta Cash Inc. have been collected.

06 ASSIGNMENT:

Merchant shall not assign this Agreement without prior written consent from Insta Cash Inc. Insta Cash Inc. may assign this agreement at anytime. 07 LIABILITY: Merchant will indemnify Insta Cash Inc. against and hold it harmless from all claims, of whatsoever nature arising out of the use of the terminal Insta Cash Inc. shall not be liable for any damages arising from the installation, operation, default, or maintenance of terminal.

08 INVESTIGATION:
Merchant hereby authorizes any credit bureau or other investigative agency endorsed by Insta Cash Inc. to investigate references herein listed or statements or other data obtained from Merchant or from other person pertaining to Merchant’s credit and financial responsibilities and to exchange credit & other information with credit reporting entities, financial institutions & others.

09 SOFTWARE LICENSE:

Insta Cash Inc. hereby grants to Merchant and Merchant accepts non-transferable and nonexclusive license to use on the equipment any software products provided therewith (“Software”). Merchant shall not alter or modify software and will not copy, disclose or otherwise make available the Software in whole or in part to any person without the prior written approval of Insta Cash Inc.

10 LOCATION(S) AND USE:

The equipment shall be located and used at the place(s) designated herein and shall not be moved without the prior written consent of Insta Cash Inc. Merchant shall keep the Equipment in good condition and working order. Merchant shall cause the equipment to be operated carefully in compliance with manufacturer’s recommendation and applicable laws and regulations, by competent and duty-qualified personnel only.

11 PRE-AUTHORIZED PAYMENT PLAN:

Merchant warrants that all persons whose signatures are required to sign on the specified Account have signed the authorization. Merchant acknowledges that delivery of the authorization to Insta Cash Inc. will constitute delivery by Merchant to the branch of the financial institution which the Specified Account is maintained and that such financial institution is not required to verify that the payments are drawn in accordance with the authorization. Merchant agrees that termination of this authorization does not cancel or reduce its obligation under this agreement. Merchant will notify Insta Cash Inc. in writing of any changes in the account information or termination of the authorization prior to the next due date of the pre-authorized debit. Items charged under any of the following conditions will be reimbursed by the financial institution where the specified Account is held, subject to Merchant providing the financial institution with a written declaration within ten days of posting of the debit: (a) the pre-authorized debit was not drawn in accordance with the authorization; (b) Merchants authorization was revoked.

12 REPRESENTATION AND WARRANTS:

Merchant acknowledges that the vendor and/or manufacturer of the Equipment and the Equipment and its specifications have been selected by Merchant for its purpose of this agreement except as hereafter set forth, no representation of warranty, expressed or implied, legal, statutory, customary or otherwise is given or made in respect to the equipment, including but without limitation the merchantability, condition, design, operation or fitness for the purpose of use thereof or its freedom from liens and encumbrances. If the equipment is not properly installed, does not operate as intended by Merchant or as represented by the manufacturer or vendor, totally fails to function or perform so as to give rise in a fundamental breach or alleged fundamental breach with respect to the Equipment, or is unacceptable for any other reason whatsoever. Merchant shall claim only again such vendor or manufacturer under such warranties made available to the merchant and shall nevertheless unconditionally pay Insta Cash Inc. full price of purchased and/or other amounts payable hereunder. In no event Insta Cash Inc. will be liable to the Merchant for damages. Whether direct, indirect, special, consequential or otherwise resulting from or in any form connected with the use or performance of the equipment and Merchant hereby indemnifies Insta Cash Inc. against any such damage. If Insta Cash Inc. is the manufacturer and/ or vendor of the Equipment, the warranty set forth in the applicable price list, instructions manual and procedures of Insta Cash Inc. shall apply.

13 TERMS OF AUTHORIZATION TO DEBIT THE ABOVE ACCOUNT The Client authorizes Insta Cash Inc. or an Agent to debit the above account in respect to a debt owed to the Insta Cash Inc. in the amount of $ ____________________, commencing and contemning Weekly/Bi-Weekly/Monthly

The parties have agreed to have this contract drafted in English language.
